FAQs
Frequently Asked Questions
Some common questions about investing in commercial real estate and our institutional-quality private investing platform.
Investing in Alternatives
What are alternative investments?
Alternative investments are investment products that do not fall into one of the three traditional types of assets: stocks, bonds, and cash equivalents.
While alternative investments can range from fine wine to futures, we focus on a select few asset classes. Currently, our investments focus on commercial real estate of a caliber previously accessible only to private equity firms and institutional investors.
Why invest in alternatives?
Long favored by institutional investors, alternative investments have low correlation to market volatility, offer risk-balanced returns, and are a way to diversify a portfolio of conventional equity and fixed income investments.
Alpha Investing
How does Alpha Investing work?
All deals at Alpha Investing are sourced from a specialized group of pre-vetted sponsors. Alpha negotiates an equity reservation on behalf of our private capital network. We then are able to offer our investors access to these projects, at significantly reduced minimums.
What asset classes does Alpha Investing offer?
Alpha Investing carefully curates deal-flow within our preferred assets classes. At this time, Alpha Investing targets deals in multifamily, student housing, senior housing, and office.
How is Alpha Investing different than crowdfunding?
In one word: access. Alpha Investing is only available to a select group of core investors. We are not crowdfunding; we are selective funding, in both the sponsors we are involved with and the investors we work with.
Our process is engineered to only provide deals of the highest caliber, from high-quality sponsors with whom we have strong relationships.
What exactly do I own when I invest with Alpha Investing?
When you invest through the Alpha Investing platform, you own a membership interest in the form of shares, in an Alpha managed entity, specific to the underlying investment project. The details of the investment are explained in the offering documents. Please review the documents carefully to ensure that you understand the terms prior to investing.
Why is Alpha Investing limited to only accredited investors?
By nature, Alpha Investing is targeted to only a highly-selective group of investors. The SEC mandates that only accredited investors have access to unregistered investment opportunities.
We evaluate investor applications judiciously and would encourage potential investors to review the SEC’s guidelines on accreditation status.
Investing with Us
Is there a minimum/maximum investment?
The minimum can vary depending on the investment. At this time, maximum investments are determined on a per-project basis.
Please contact us using the form below for further information.
How does the investment process work?
When you make your investment, the money is held securely in an independent escrow account. In connection with the closing of the project, your money is transferred to the company, and you will receive your security.
If the investment does not close for any reason, 100% of your investment will be returned directly to you. We will never hold or be the custodian of any investor funds during the process.
Can I invest if I am a foreign investor?
Yes, we allow investments from non-U.S. investors, although it requires additional documentation.
Please contact us using the form below for further information.
Can I invest through my LLC, LP, or trust?
Yes, we can facilitate an investment through an LLC, LP, or trust.
Please contact us using the form below for further information.
How do investors earn returns?
Most of our investments provide quarterly cash flow distributions, but this can vary depending on the specific investment.
Information regarding distributions can be found in the Operating Agreement of the Alpha LLC, available to all investors.
How will I be updated about my investments?
You will receive quarterly reports detailing the performance of your investment. We will provide a summary of the investment status along with any other pertinent information relating to your investment.
Are there fees for investing?
See Alpha Operating Memorandum and Purchase Agreement regarding fees. All projections shown are net of fees.
Are my investments liquid?
No. In most cases, investments made with us are not meant to be quickly converted into cash. Each investment has a projected hold period, outlined in the investment project's offering documents.
Under very special and limited circumstances, with LLC manager approval, you may sell your shares after holding them for at least one year.
You should always assume that you can not re-sell your "shares," as investments into private placements are generally illiquid and have an extended hold period.
Security
How does Alpha Investing keep my personal information secure?
We never share individual investor details with third parties. Privacy and protection are our chief concern in all dealings with sponsors and investors.
Information transmitted via our website is protected by a Secure Sockets Layer ("SSL"), a protocol developed for privately transmitting documents over the internet.
How does Alpha Investing screen investments?
We partner and consult with industry experts that specialize in alternative investment underwriting. Our vetting process is comprehensive, meticulous, and has numerous layers of third-party analysis.
Taxes
What is a K-1?
When you invest in an investment project, you enter a Limited Liability Company ("LLC") partnership that we set up to invest in a single project with other investors.
A schedule K-1 (Form 1065) is a report generated based on your share of a partnership’s income, deductions, credits, etc.
Always consult with your tax advisor to determine your individual tax implications.
Why is income reported on my Schedule K-1 different from the distributions I received?
Your Schedule K-1 will reflect all of the taxable income that came from a specific investment product. Your individual returns on a given project are explained in the project’s offering materials. These returns may be paid out at a different pace than the net generated income.
Do I have to file state tax returns?
Always consult with your tax advisor to determine your individual tax implications.
